These Terms of Use ("Terms") are an agreement between you and Loozap Publishing LLC ("Loozap", "we", "us"). They govern your use of the Loozap website, apps and services (the "Service"). By creating an account or using the Service, you agree to these Terms. If you do not agree, please do not use Loozap.

These documents are part of the Terms: the Community Rules, Privacy Policy, Cookie Policy, Disclaimer, Disclosures and Editorial Policy. Some features, such as the Marketplace, Services, Jobs, Courses, Events and tickets, brand collaborations, creator subscriptions and the AI assistant, may show additional terms when you use them.

1. Eligibility

You must be at least 18 years old to create an account. If you use Loozap for a company or other organization, you confirm that you are authorized to accept these Terms on its behalf, and "you" includes that organization.

2. Your account

• Give accurate information when you sign up and keep it up to date.
• One person, one personal account. You may also manage Pages and Groups, but you may not create extra personal accounts to evade limits or suspensions, or to amplify your voice.
• Keep your password safe and turn on two-factor authentication in Security settings. You are responsible for activity on your account. Tell us promptly through the Support Center if you think your account has been compromised.
• New accounts may be reviewed before they are fully activated.
• A verified badge confirms identity only. It does not mean we endorse the account or its opinions.

3. Using Loozap

We grant you a personal, limited, revocable, non-exclusive, non-transferable licence to use the Service in line with these Terms. You must not:

• scrape, crawl or bulk-download content, or access the Service with bots or automated tools, except with our written permission or through an interface we provide for that purpose;
• copy, resell or redistribute market data, news summaries or other content we license from third parties;
• get around paywalls, subscriptions, privacy settings, blocks or security measures;
• interfere with, overload or probe the Service for vulnerabilities, except through a responsible disclosure agreed with us;
• reverse engineer the Service, except where the law allows;
• use the Service for anything illegal, or in breach of the Community Rules.

4. Your content

You own what you post. By posting content on Loozap (posts, comments, Articles, Collections, images, videos and other material), you give us a worldwide, non-exclusive, royalty-free licence to host, store, reproduce, adapt (for example resize or format), display and distribute that content in order to run, promote and improve the Service, in line with your privacy settings. This includes showing it on instrument pages, in search results and in Ratings and Sentiment.

This licence ends when you delete the content or your account. It continues only for copies other people have already shared, for backups kept for a limited time, and for anything we must keep for legal reasons.

You are responsible for your content. You confirm that you have the rights to post it and that it does not break the law or these Terms.

5. How posts appear on instrument pages

When your post or Article mentions a valid cashtag, Loozap links it to that instrument so it can appear on the instrument's Feed, Research, Ratings or Sentiment. This does not change where the post was published, who wrote it, or who can see it:

• A post stays on your profile, Page, Group or Event, with the privacy setting you chose.
• Instrument pages show it only to people who are already allowed to see it. For example, posts in a closed Group are shown only to approved members of that Group.
• Only public posts outside Groups and Events count towards Sentiment and Ratings. The methods are explained in our Editorial Policy.

6. Moderation

We may remove content, remove cashtags, limit features or suspend accounts that break these Terms or the Community Rules, or that we must act on by law. We explain these decisions and how to challenge them in the Community Rules. We are not obliged to monitor all content, and we do not endorse what members post.

7. Research, stances and news

• Authors are solely responsible for their Articles, stances and disclosures. Loozap does not check every Article before it is published.
• News items link to third-party publishers. We choose and label them but do not guarantee them. See the Editorial Policy.
• Market data comes from third-party providers and may be delayed or wrong. See the Disclaimer.

8. No investment advice

Loozap is a place for information and discussion. We are not a broker, investment firm, investment adviser, tax adviser or legal adviser. Nothing on Loozap is an offer, recommendation or solicitation to buy or sell any financial instrument. Members, creators, Pages and Loozap staff may hold positions in the instruments they discuss and may change them at any time. You alone are responsible for your investment decisions. 9. Paid features

Creator subscriptions and paid posts

• Creators can offer paid subscriptions to their profile, Page or Group, and sell individual paid posts. The creator sets the price and is responsible for the content.
• Loozap keeps a service commission of 10% of each sale. The rest is credited to the creator's earnings balance.
• Creators can withdraw earnings once their balance reaches US$50, using the payout methods offered in settings (currently PayPal, Skrill and bank transfer). Creators are responsible for their own taxes. We may ask for identity and tax information before paying out, and we may hold payouts that we reasonably suspect involve fraud or a breach of these Terms.
• A subscription lasts for the period you paid for (for example a week, month or year). Subscriptions paid by card or PayPal renew automatically at the end of each period until you cancel. Other subscriptions end when the paid period ends. Cancelling stops the next renewal, and you keep access until the end of the period you have paid for.
• Refunds and right of withdrawal: payments for subscriptions and paid posts are final once access has started. We refund them only where the law requires it, or where paid content you bought is not available because of a fault on our side. If you are a consumer in the EU, you have a 14-day right of withdrawal from digital content and services. When you ask for immediate access to paid content, you agree that you lose this right once access has started, as the law allows.

Points and referrals

Points and referral credits have no cash value, except where the settings page expressly allows you to convert them. We may change or end these programmes, and we may cancel points or credits that were earned through abuse. If you share referral links, you must disclose that you benefit from them.

Marketplace, Services, Courses, Events and brand collaborations

Products, services, job offers, courses, event tickets and brand collaborations offered by members are agreements between the buyer and the seller. Loozap is not a party to them unless we say otherwise, but may charge the seller a commission, which is shown before you list or sell. Sponsored content arranged through brand collaborations must be labelled as described in the Community Rules.

AI assistant

Answers from the AI assistant are generated automatically and may be wrong. They are not investment advice. Do not enter other people's personal data or confidential information into it.

10. Official company Pages

A company may ask us to link its Loozap Page to its instruments as the official Page. We link a Page only after checking that it belongs to the company, and we may remove the link at any time. The company is solely responsible for everything it posts, including compliance with its disclosure obligations under securities law. The Official badge does not mean Loozap endorses the company or checks what it says.

11. Our intellectual property

The Service, including its software, design, logos, the Loozap name, instrument pages and the selection and arrangement of content, belongs to Loozap or its licensors. Instrument names, index names and company trademarks belong to their owners. If you send us feedback or suggestions, we may use them without any obligation to you.

12. Copyright and illegal content

If you believe content on Loozap infringes your rights or is illegal, report it as described in the Community Rules or email contact@loozap.com. We close the accounts of repeat infringers where appropriate.

13. Disclaimer of warranties

To the extent the law allows, the Service is provided "as is" and "as available". We do not guarantee that it will be uninterrupted, error-free or secure, or that any content, data, sentiment or rating is accurate, complete or up to date. Nothing in these Terms affects your legal rights as a consumer.

14. Limitation of liability

To the extent the law allows, Loozap is not liable for indirect or consequential losses, or for trading or investment losses, lost profits or lost data resulting from your use of the Service or reliance on any content. Our total liability to you for any claim is limited to the greater of (a) the amount you paid us in the 12 months before the claim and (b) US$100. Nothing in these Terms limits liability for death or personal injury caused by negligence, for fraud, for gross negligence or wilful misconduct, or for any other liability that the law does not allow us to limit.

15. Indemnity

To the extent the law allows, if you use Loozap for business purposes, you agree to compensate us for claims, losses and costs (including reasonable legal fees) that result from your content or from your breach of these Terms or the law.

16. Suspension, termination and deleting your account

You can delete your account at any time in Settings → Delete account. Before you do, you can download a copy of your information in Settings → Download your information. We may suspend or close accounts as described in section 6 and the Community Rules, and we will usually tell you first unless the law or a safety risk prevents it. Sections 4 (for content that remains), 8, 11, and 13 to 18 continue to apply after your account ends.

17. Changes to these Terms

We may update these Terms. If a change is material, we will notify you at least 30 days before it takes effect, by email or on the Service. If you keep using Loozap after the change takes effect, you accept the new Terms. If you don't agree, you can delete your account before then.

18. Governing law and disputes

These Terms are governed by the laws of the Republic of Seychelles. Before starting legal proceedings, please contact us at contact@loozap.com so we can try to resolve the issue informally. We will reply within 30 days. The courts of the Republic of Seychelles have exclusive jurisdiction.

19. General

If a court finds part of these Terms unenforceable, the rest stays in effect. If we don't enforce a right immediately, we have not waived it. You may not transfer your rights under these Terms. We may transfer ours as part of a merger, acquisition or sale of assets, and we will tell you if we do. These Terms are the entire agreement between you and Loozap about the Service.
